Terms of Use

CutAI LLC · 1484 W Gateway Heights Loop, Sedro Woolley, WA 98284

Updated October 25, 2026

Effective date: October 1, 2026. Last updated: October 25, 2026. We published this version of the Terms on October 25, 2026. It applies to existing users from the effective date and to new users when they accept it. The 30 days that Section 21 gives you to opt out of its changes count from October 25, 2026. By accepting these Terms, you allow us to train AI models on Your Content uploaded on or after October 1, 2026, only to improve how CutAI edits videos, unless you opt out by emailing support@usecutai.com with the subject "AI opt-out", as Section 7 explains. We train on Your Content uploaded before October 1, 2026, only with your yes. For content uploaded before October 1, 2026, Section 7 also limits how we use it to find and fix problems, unless you give consent for more.

PLEASE READ THESE TERMS CAREFULLY. SECTION 21 CONTAINS AN ARBITRATION AGREEMENT, A CLASS ACTION WAIVER AND A JURY TRIAL WAIVER. UNLESS YOU OPT OUT AS SECTION 21 EXPLAINS, DISPUTES BETWEEN YOU AND CUTAI WILL BE RESOLVED BY INDIVIDUAL ARBITRATION, NOT IN COURT. SECTIONS 18 AND 19 LIMIT OUR WARRANTIES AND OUR LIABILITY TO YOU.

01Agreement to These Terms

These Terms of Use ("Terms") are a binding agreement between you and CUTAI LLC, a limited liability company organized under the laws of the State of Florida, United States ("CutAI," "we," "us," or "our").

They govern your access to and use of the CutAI mobile application (the "App"), our website at usecutai.com, and all related features, content, and services we provide (together, the "Services").

By creating an account, downloading the App, subscribing to a plan, or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

We may provide additional terms for specific features. Where those apply, they supplement these Terms; if they conflict, the additional terms control for that feature. Our Privacy Policy and any such additional terms are part of these Terms.

02Who May Use CutAI

The Services are for people 18 years of age or older. By using the Services, you represent that you are at least 18 and have the legal capacity to enter into this agreement.

If you use the Services on behalf of a company or other organization, you represent that you are authorized to bind it, and "you" refers to both you and that organization.

You may not use the Services if you are barred from doing so under applicable law, if you are located in a country subject to a U.S. government embargo, or if you appear on any U.S. government list of prohibited or restricted parties.

03What CutAI Is

CutAI is a video editing service. You upload video you have recorded, and our automated systems, which use artificial intelligence, produce an edited version, for example by removing pauses and retakes. You can then review, adjust, and export the result using the editing tools in the App.

Editing is performed by automated systems, not by human editors. Some of that processing is done for us by service providers, including AI providers, as Section 13 and our Privacy Policy explain. Section 10 explains what automated editing means for the results you get.

04Your Account

You need an account to use the App and access your edits. Where offered, you may start a website purchase before creating an account. You can create one with an email address and password, or by signing in with Google or Apple. The same account works on the website and in the App.

You are responsible for everything that happens under your account, and for keeping your password confidential. Accounts are for a single user. Do not share credentials or let others use your account. Tell us promptly at support@usecutai.com if you believe your account has been compromised.

Provide accurate information when you register, and keep it current. We may suspend or terminate accounts registered with false information.

05Plans, Billing, and Trial Offers

Using the App without a plan. The App is free to download, and you can create an account at no charge. Without a subscription, use is limited to a small allowance of edits so you can see what CutAI does.

Plans. CutAI offers subscription plans, currently Starter, Pro, and Ultimate, each available billed monthly or annually. Each plan includes an allowance of AI edits per month (Ultimate is unlimited) and may include limits on file size, video length, and how many videos you can process at once. An unlimited plan has no monthly edit count, but it is for one person's own use and remains subject to Section 9 and to the other limits shown for the plan. An edit is counted when you submit a video for processing. Current prices and allowances are shown on the pricing section of our website and at checkout; the price shown when you subscribe is the price you agree to.

Where you buy. You can subscribe on our website, where payments are processed by Stripe, or inside the App through Apple's in-app purchase. Either way, the plan is attached to your CutAI account and unlocks the App. Purchases made through Apple are also subject to Apple's terms, and Apple handles billing, cancellation, and refunds for those purchases. The rest of this section and Section 6 describe how website subscriptions work.

Automatic renewal. Subscriptions renew automatically at the end of each billing period, every month or every year, depending on the option you chose, and your payment method is charged at the start of each new period at the then-current price for your plan, until you cancel. Annual plans are billed once a year, in full, up front; any monthly-equivalent figure we show for an annual plan is for comparison only.

The free trial and partner offers. The trial, if any, its length, any introductory charge, and the subscription price that follows are shown before you subscribe. Your first website subscription normally includes a three-day free trial. Partner offers may give a longer trial on monthly plans, for example 30 days with TRYBE. Offers can differ by plan and purchase channel; some subscriptions have no trial. Your selected plan and Stripe Checkout disclose the duration and any offer that applies before you subscribe, and Apple shows the offer for an in-app purchase. A payment method may be required. Unless you cancel before the trial or introductory period ends, your subscription renews at the price shown. There is one free trial per account. If you have had a CutAI plan before, a partner offer may give you a free first month instead of another trial; the selected plan and Checkout show those terms. Cancelling during a trial ends access at the trial's end. An additional discounted period shown for a legacy offer does not extend that cancellation boundary. You can cancel a website subscription from your account page, or an Apple subscription in your Apple subscription settings. Any trial charge and refund request are subject to Section 6 and applicable law. Eligibility and any limits are shown with the offer.

Price changes. We may change plan prices and allowances as the Services evolve. We will give you notice before a price change affects a subscription you already have, and you may cancel before the new price applies.

Taxes. Prices may not include taxes. Where tax applies, it is added at checkout.

Failed payments. If a renewal payment fails, we may retry it and may suspend your plan's benefits until payment succeeds. Update your payment method from your account page to restore them.

Edits that fail. If an edit fails because of a fault in the Services, contact us at support@usecutai.com and we may restore it at our discretion.

06Cancellation and Refunds

Cancel anytime. You can cancel a website subscription at any time from your account page. Cancelling stops future charges; your plan stays active until the end of the period you have already paid for, and then ends. Cancellation does not automatically entitle you to a prorated refund. For a subscription purchased through Apple, cancel in your Apple ID subscription settings; Apple's rules apply.

Refunds. Payments are non-refundable except where applicable law requires otherwise, including the rights described in Section 23. We may grant a full or partial refund, case by case, at our sole discretion. Granting one refund does not entitle you or anyone else to another. To request a review, email support@usecutai.com from the email on your account and tell us what happened. Refunds for purchases made through Apple are handled by Apple under Apple's policies; request one at reportaproblem.apple.com.

Cancel before you delete. If you delete your account while a subscription is active, cancel the subscription first, so you are not billed for a plan you no longer use.

If something isn't working, email support@usecutai.com so we can help.

07Your Content and the Rights You Give Us

You own your content. You keep all ownership of the videos, audio, images and other material you upload, the edited videos produced from it, and your rights in transcripts and other derived data (together, "Your Content"). We do not claim ownership of Your Content.

License to provide the Services. You grant CutAI a non-exclusive, worldwide, royalty-free license to host, store, copy, transmit, reformat, transcode, transcribe, analyze, modify, create derivative works of, display and otherwise process Your Content to provide the Services, produce and deliver edits, keep backups and provide support. We may engage and sublicense service providers for these purposes. Authorized personnel may review content for support, troubleshooting, quality review, security, suspected violations and legal compliance. Our Privacy Policy explains our processing providers, testing and evaluation practices, and retention.

Finding and fixing problems, and improving CutAI. We collect and use Your Content and information about how you use the Services to find, investigate, reproduce and fix bugs, errors and crashes, to analyze how the Services work and perform, to check and improve the quality of edits, and to maintain, develop and improve CutAI. That information includes your device model, operating system and app version, settings, actions in the App, error and crash reports, logs, performance data, and masked screen recordings or screenshots of the App. Our personnel and service providers may view, copy and test Your Content and this information for these purposes, and we may keep copies as test material after a problem is fixed. For Your Content uploaded before October 1, 2026, we use it this way only to find and fix problems with the Services. Using that earlier content to analyze or improve the Services in other ways needs your consent. This paragraph does not cover training AI models on Your Content, which the next paragraphs explain.

AI training, unless you opt out. By accepting these Terms, you grant CutAI a non-exclusive, worldwide, royalty-free license to use, copy, analyze and otherwise process Your Content uploaded on or after October 1, 2026, including videos, audio, transcripts, edits and data derived from them, to train, fine-tune, test and improve the AI models CutAI uses to edit videos. This license lasts until you opt out, as explained below. For Your Content uploaded before October 1, 2026, we train AI models on it only if you give us your yes in writing, such as an email to support@usecutai.com; if you do, the license in this paragraph covers that content too. Without that yes, we do not use content uploaded before October 1, 2026, to train AI models. A separate in-app opt-in for one feature, such as "Help build auto zoom," covers only that feature, as its own wording and our Privacy Policy explain.

What training is for. We train only so CutAI edits videos better: editing styles and methods, such as where to cut, pacing, pauses, retakes, captions, zooms, layout and sound. We do not use Your Content to train AI to generate, imitate or recognize anyone's face, body or voice, and we do not make AI images, videos or voices of real people. Faces and voices are part of your videos, so the training system may process them as part of the video. We do not create faceprints or voiceprints, and we do not use Your Content to identify people.

No sale or licensing to other companies. We do not sell, share, sublicense or license Your Content to other companies for their own AI training or their own products. Service providers may host or run training for us under contract, only for CutAI, and may not use Your Content for themselves.

Opting out of AI training. You can opt out at any time by emailing support@usecutai.com with the subject "AI opt-out". Send it from the email on your account, or name that email in your message, so we can find your account. Once we process your opt-out, we add none of Your Content to new training and leave it out of training runs that start after that. Opting out does not undo training already done, and models already trained are not retrained or made to forget. It costs nothing and does not change your access. It does not stop the processing needed to provide your requested editing service, the problem fixing described above, or processing required by law. We keep a record of each opt-out and each yes. See AI training in our Privacy Policy for details.

Permission where required. Where applicable law or platform rules require consent, including for AI training, sharing personal data with a third party's AI or using biometric identifiers, we will ask before that use or disclosure. These Terms do not replace that consent. AI and processing providers that help make your edits may retain and use data under their own terms, including to improve their services, as explained in the Privacy Policy.

Access to content. CutAI has no public feed that displays your videos to other users. Access and disclosure can nevertheless include our personnel and service providers for the purposes and subject to the limits in this section and the Privacy Policy.

Deletion and retention. You can delete edits and request account deletion within the App. Deleting an edit may mark it deleted without removing its server files. We do not currently delete uploaded original videos automatically, so they may remain until you delete your account. We may change how long we keep content, including deleting older content, as explained in our Privacy Policy. Account deletion removes your account and associated uploads through our deletion process, but some billing, operational, support, testing and vendor records can remain, as explained in the Privacy Policy. We do not promise immediate erasure of every copy or removal of information already incorporated into a trained model. Keep your own copies of anything you care about. Section 18 explains that we do not guarantee against data loss. Retention and these licenses remain subject to applicable law, the effective-date limits, required consent and your privacy choices.

Feedback. If you send us suggestions, ideas or other feedback about the Services ("Feedback"), you grant CutAI a perpetual, irrevocable, worldwide, royalty-free license to use, copy, modify and otherwise exploit that Feedback for any purpose, without compensation, attribution or other obligation to you. Feedback is not confidential. This does not override the protections for Your Content or personal information in these Terms and our Privacy Policy.

08Your Responsibilities for Your Content

You are solely responsible for what you upload. You represent and warrant that:

  • You created Your Content or have all rights and permissions necessary to upload and process it.
  • You have the consent of every identifiable person appearing or speaking in it for the uses described in Section 7, including processing their image and voice and, unless you opt out, AI training as Section 7 describes. You are responsible for obtaining and maintaining those permissions; this does not replace any consent CutAI must obtain under law or platform rules.
  • You have all licenses needed for any music, sound recordings, footage, brand assets, product imagery, or other third-party material it contains, both for CutAI to process it and for every place you publish the result.
  • It does not infringe anyone's copyright, trademark, publicity, or privacy rights.
  • It does not violate any law, and does not depict the sexual exploitation or abuse of minors.

You are also responsible for the edited videos you publish, including any claims you make about products in them and any disclosure obligations you have as an affiliate, advertiser, or seller.

Where you post. You are responsible for following the rules of every platform where you publish your videos, including rules about music, advertising, sponsored content, product claims, and AI-edited content. We are not responsible if a platform removes, mutes, limits or demonetizes a video, or takes action against your account there.

Content we may refuse or remove. We do not have to review Your Content, but we may. We may refuse to process, remove or disable access to any content that we reasonably believe breaks these Terms or the law, or could harm CutAI, our users or others. We report child sexual abuse material and may report other unlawful content to the authorities where the law requires or allows.

09Acceptable Use

Commercial use is expressly permitted. CutAI is built for creators, affiliate marketers, and sellers. You may use the Services and the videos they produce for any lawful commercial purpose, including advertising, marketing, promoting, and selling goods and services, and for any revenue-generating activity. Apart from the rules in this section that protect the Services, nothing in these Terms restricts commercial use of the Services or of your edited videos.

You agree not to:

  • Use the Services for any unlawful purpose, or to create or distribute unlawful content.
  • Upload content you do not have the rights to, or that infringes anyone's rights.
  • Create or share content that sexually exploits or endangers minors, shares intimate images of anyone without their consent, or is defamatory, threatening or harassing.
  • Use the Services to impersonate anyone, or to make a video that falsely shows a real person saying or doing something in a way that could deceive or harm people.
  • Upload malware, or anything designed to disrupt or damage the Services.
  • Share, sell, or transfer your account or credentials.
  • Create more than one account, or use false details, to get more free edits, trials or offers than we allow.
  • Circumvent usage limits, edit allowances, rate limits, or access controls.
  • Access another user's account or content, or attempt to.
  • Interfere with the Services' operation, place an unreasonable load on our systems, or test their security without our written permission.
  • Harass, abuse, or threaten our staff or other users.
  • Misrepresent your identity or your affiliation with any person or organization.
  • Help or encourage anyone else to do any of these things.

Protecting how CutAI works. How CutAI edits videos is our confidential information and trade secret. You agree not to do any of the following, and not to help or let anyone else do it:

  • Reverse engineer, decompile, disassemble, decrypt, or otherwise try to derive the source code, models, model weights, prompts, instructions, algorithms, editing rules or other non-public parts of the App or the Services, except where applicable law expressly permits it despite this restriction.
  • Intercept, inspect, modify or replay the App's network traffic, or call our servers or interfaces other than through the App and website as we provide them.
  • Scrape, crawl or data-mine the Services, or use scripts, bots, or other automated means to access the Services, submit content, or collect data or Output, unless we have agreed in writing.
  • Try to extract, copy, reconstruct or work out our models, prompts, editing rules or training data, including by submitting large numbers of inputs, or inputs made for that purpose, and studying the results.
  • Use the Services or any Output to develop, train, fine-tune, test or improve an AI model, dataset, or product that competes with CutAI.
  • Copy, resell, sublicense, frame, or provide the Services to third parties as your own service, or use the Services to build a competing product.
  • Run benchmarks, comparisons or other systematic tests of the Services to build, improve or market a competing product, or access the Services to monitor their availability, performance or functionality for competitive purposes.
  • Remove or change any notice of our rights, or bypass any security or technical protection in the Services.

Nothing in these Terms stops you from sharing an honest review or opinion of CutAI, or limits any right the law gives you that cannot be waived.

What we may do. We may investigate suspected breaches of this section. We may refuse to process content, limit features, suspend or terminate accounts, and report activity to the authorities where the law requires or allows. A breach of the rules in "Protecting how CutAI works" can cause us harm that money alone cannot repair, so we may ask a court to stop it, as Section 21 allows.

10Automated Editing: No Guarantee of Results

Automated systems make mistakes. Editing decisions are made by automated systems, including artificial intelligence. Those systems can be wrong. They may cut material you wanted to keep, keep material you wanted cut, mistime a transition, get words or captions wrong, or fail to process a file at all.

Output. "Output" means the edits, edited videos, captions, transcripts, suggestions and other results the Services produce from Your Content. As between you and us, Output made from Your Content is part of Your Content, as Section 7 describes. Because Output is made by AI, other users may receive similar results, such as similar cuts, captions, styles or layouts. Output made for other users is not Your Content, and we do not promise that your Output is unique.

Review every edit before you publish it. You are responsible for the final video and how you use it. Check every edit, caption and transcript before you publish it or rely on it. Do not rely on transcripts or captions as an exact record of what was said.

No guarantee of results. We do not warrant that any edit or other Output will be accurate, complete, reliable, suitable for your purpose, free of errors, or free of material that infringes anyone's rights, and we do not guarantee any particular processing time, output quality, or result. We do not promise that a platform will accept your videos, or that using CutAI will bring you views, followers, sales, commissions or any other business result.

Not professional advice. Nothing in the Services, including any suggestion about captions, titles, product claims or disclosures, is legal, financial, tax or other professional advice. You are responsible for knowing the advertising, disclosure and platform rules that apply to you.

Processing. Processing time varies with file length, file size, and system load. Any estimates we display are estimates, not commitments. We may limit, queue, delay or decline processing, for example during high demand or to protect the Services.

11Our Intellectual Property

The Services, including the App, our website, software, models, designs, text, graphics, and the CutAI name and logo, are owned by CutAI and our licensors and are protected by intellectual property laws.

Our methods are ours. The methods, models, prompts, algorithms, editing rules, software and know-how behind the Services, and everything we develop to improve them, belong to CutAI and our licensors and are our confidential information. Using the Services gives you no right to them. This does not give us any right in Your Content beyond what Section 7 grants.

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to use the Services for their intended purpose, including commercial purposes as described in Section 9. We reserve all rights not expressly granted. You may not use our name, logo, or branding without our written permission, except to accurately refer to the Services.

12Mobile Application License

We grant you a revocable, non-exclusive, non-transferable, limited license to install and use the App on devices you own or control, in accordance with these Terms and with the usage rules of the app store you obtained it from.

Test versions and beta features. If we give you a test version of the App, such as through Apple TestFlight, or a feature marked beta, preview or experimental, it may be unfinished, may not work, and may change or be withdrawn at any time, without notice. It is provided without any warranty or support commitment. Unless we have made it public, keep the test version and non-public information about it, such as unreleased features, designs and how they work, confidential: do not share it, or screenshots or recordings of it, outside CutAI without our written permission.

The following applies when you obtain the App from the Apple App Store (the "App Distributor"):

  1. These Terms are between you and CutAI only, not with the App Distributor. CutAI, not the App Distributor, is solely responsible for the App and its content.
  2. Your license is limited to a non-transferable license to use the App on Apple-branded devices you own or control, as permitted by the usage rules in the App Distributor's terms of service, except that the App may be accessed and used by other accounts associated with the purchaser through Family Sharing or volume purchasing.
  3. We are responsible for providing maintenance and support for the App, to the extent required by these Terms or applicable law. The App Distributor has no obligation to furnish maintenance or support.
  4. If the App fails to conform to any applicable warranty, you may notify the App Distributor, which may refund the purchase price of the App, if any. To the maximum extent permitted by law, the App Distributor has no other warranty obligation with respect to the App, and any other claims, losses, liabilities, damages, costs or expenses from any failure to conform to a warranty are CutAI's responsibility, as far as these Terms do not disclaim them.
  5. CutAI, not the App Distributor, is responsible for addressing any claims by you or a third party relating to the App or your possession and use of it, including product liability claims, claims that the App fails to conform to any applicable legal or regulatory requirement, and claims under consumer protection, privacy or similar laws.
  6. If a third party claims that the App or your possession and use of it infringes that third party's intellectual property rights, CutAI, not the App Distributor, is solely responsible for the investigation, defense, settlement and discharge of that claim.
  7. You represent that you are not located in a country subject to a U.S. government embargo or designated as a "terrorist supporting" country, and that you are not on any U.S. government list of prohibited or restricted parties.
  8. You must comply with applicable third-party terms when using the App.
  9. Send questions, complaints or claims about the App to CutAI at the contact details in Section 26.
  10. The App Distributor is a third-party beneficiary of this Section 12, and has the right to enforce its terms against you as a third-party beneficiary.

13Third-Party Services

The Services rely on third parties, including cloud hosting, payment processing, and AI and other processing providers, and may link you to sites we do not control, such as third-party sign-in providers, Stripe's checkout and billing pages, and the platforms where you post your videos.

We are not responsible for the content, policies, practices or availability of third-party services, and these Terms do not govern your use of them. Review their terms and privacy policies.

For clarity: nothing in this section relieves us of our obligations to you under these Terms.

14Copyright Complaints

We respect intellectual property rights. If you believe material on the Services infringes a copyright you own or control, send a written notice to our copyright agent, CUTAI LLC, at support@usecutai.com or the mailing address in Section 26, with:

  • Your physical or electronic signature.
  • Identification of the copyrighted work you claim is infringed.
  • Identification of the material you claim is infringing and enough information for us to locate it.
  • Your contact information.
  • A statement that you have a good faith belief the use is not authorized by the copyright owner, its agent, or the law.
  • A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on their behalf.

Counter-notice. If we remove your material after a notice and you believe it was removed by mistake or misidentification, you may send us a counter-notice with your physical or electronic signature, identification of the material and where it appeared, a statement under penalty of perjury that you have a good faith belief it was removed by mistake or misidentification, your name, address and phone number, and your consent to the jurisdiction of the federal court for the district where your address is (or, if you are outside the United States, any district where we may be found) and to accept service from the person who sent the notice. We may then restore the material as the law allows.

We may remove material, and we terminate the accounts of repeat infringers in appropriate circumstances. You may be liable for damages if you knowingly misrepresent that material is infringing, or that it was removed by mistake.

15Privacy

Our Privacy Policy explains what we collect and how we handle it, and is incorporated into these Terms.

The Services are hosted in the United States. If you use them from elsewhere, you consent to your information being transferred to and processed in the United States.

16Suspension and Termination

You may stop using the Services at any time, cancel your subscription as described in Section 6, and delete your account from within the App.

We may suspend or terminate your account, or your access to all or part of the Services, at our discretion, for any reason or no reason, including if you breach these Terms, if your use creates legal risk or harm to us or others, if we suspect fraud or abuse, if we are required to by law, or if we discontinue the Services. We will give you notice where the law requires it. Where the reason is a breach you can fix, we will give you notice and a reasonable chance to fix it first, unless a delay would cause harm or is legally prohibited.

If we terminate your account for breach or because we discontinue the Services, any full or partial refund, including for an unused billing period, is at our sole discretion, except where applicable law requires otherwise. Section 6 governs refund requests, and Section 23 preserves mandatory consumer rights.

After termination, your right to use the Services ends and we may delete Your Content. Export anything you want to keep before you cancel. Every provision that by its nature should survive does, including Sections 7 (subject to your choices there), 8, 9, 10, 11, 14, and 18 through 25.

17Changes to the Services and These Terms

We are actively developing the Services and may add, change, or remove features, plans, limits and supported devices. If a change materially reduces the core functionality of a paid plan during a period you have already paid for, we will give you notice and you may cancel. Any prorated or other refund is at our sole discretion, except where applicable law requires otherwise.

We may update these Terms. If a change is material, we will notify you by email or in the App at least 14 days before it takes effect. Continuing to use the Services after that date means you accept the updated Terms. If you do not accept them, cancel before they take effect. A change to Section 21 does not apply to a dispute that either of us had already given notice of before the change took effect.

18Disclaimers

THE SERVICES, THE APP AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, QUIET ENJOYMENT, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM A COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT THE SERVICES WILL BE AVAILABLE AT ANY PARTICULAR TIME, UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, THAT EDITS OR OTHER OUTPUT WILL BE ACCURATE, RELIABLE, OR MEET YOUR EXPECTATIONS, THAT DEFECTS WILL BE CORRECTED, OR THAT DATA WILL NOT BE LOST OR CORRUPTED. WE PERFORM ROUTINE BACKUPS BUT DO NOT GUARANTEE THEM. YOU ARE RESPONSIBLE FOR MAINTAINING YOUR OWN COPIES OF YOUR CONTENT.

TEST VERSIONS AND FEATURES MARKED BETA, PREVIEW OR EXPERIMENTAL ARE PROVIDED WITHOUT ANY WARRANTY AND MAY BE CHANGED OR WITHDRAWN AT ANY TIME. NO ADVICE OR INFORMATION, ORAL OR WRITTEN, THAT YOU GET FROM US CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

Some jurisdictions do not allow certain warranty exclusions, so parts of this section may not apply to you. Section 23 explains your statutory rights in the EEA and UK, and Section 24 explains how this section applies in New Jersey.

19Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, CUTAI AND ITS AFFILIATES, AND THEIR OFFICERS, MEMBERS, MANAGERS, EMPLOYEES, AGENTS, LICENSORS AND SERVICE PROVIDERS, WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST SALES OR COMMISSIONS, LOST BUSINESS OPPORTUNITIES, LOSS OF GOODWILL OR AUDIENCE, ACTIONS OTHER PLATFORMS TAKE AGAINST YOUR VIDEOS OR ACCOUNTS, THE COST OF SUBSTITUTE SERVICES, OR LOSS OR CORRUPTION OF DATA OR CONTENT, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, WARRANTY OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES, TOGETHER, WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID FOR THE SERVICES, TO US OR THROUGH AN APP STORE, IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

THESE LIMITS APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. THEY ARE AN ESSENTIAL PART OF THE BARGAIN BETWEEN YOU AND CUTAI, AND WE COULD NOT OFFER THE SERVICES AT THEIR PRICES WITHOUT THEM.

These limits do not apply to liability that cannot be limited by law, including, in some jurisdictions, liability for fraud, gross negligence, willful misconduct, or death or personal injury caused by negligence.

Time limit for claims. TO THE EXTENT PERMITTED BY LAW, ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES MUST BE BROUGHT WITHIN ONE (1) YEAR AFTER THE CLAIM AROSE, OR IT IS PERMANENTLY BARRED. This does not shorten any period that the law says cannot be shortened.

20Indemnification

To the extent permitted by law, you agree to defend, indemnify and hold harmless CutAI and its affiliates, and their officers, members, managers, employees, agents, licensors and service providers (the "CutAI Parties"), from any claim, demand, loss, liability, damages, fine, penalty, cost or expense (including reasonable attorneys' fees) arising out of or relating to:

  • Your Content, including Output you publish or use;
  • your use or misuse of the Services;
  • your breach of these Terms, including your promises in Section 8;
  • your violation of any law or of any right of a third party, including intellectual property, publicity and privacy rights, and including claims by people who appear or speak in your videos;
  • your advertising, marketing or product claims, or any failure to make a disclosure the law or a platform requires; or
  • your breach of the rules of any platform where you publish videos.

We will notify you of any such claim and may, at your expense, assume its exclusive defense and control, in which case you agree to cooperate. You may not settle any claim that affects a CutAI Party without our written consent. This section does not make you responsible for a claim to the extent it was caused by our own fraud, gross negligence or willful misconduct.

21Dispute Resolution and Arbitration

Please read this section carefully. It affects your legal rights, including your right to sue in court, to have a jury trial, and to participate in a class action.

What this covers. A "Dispute" is any dispute, claim or controversy between you and CutAI, including our affiliates, officers, members, employees, agents and service providers when it relates to the Services, arising out of or relating to these Terms, the Services, any purchase or our relationship, whether based in contract, tort, statute, fraud, misrepresentation or any other legal theory, and whether it arose before or after you accepted these Terms.

Informal resolution first. Before starting arbitration or a small claims case, the party with the Dispute must send the other a written notice (a "Notice of Dispute"). If you have the Dispute, email it to support@usecutai.com with the subject "Notice of Dispute," or mail it to the address in Section 26. It must include your name, the email on your account, a description of the Dispute and the relief you want, and it must be signed by you personally, even if a lawyer represents you. If we have the Dispute, we will send it to the email on your account. For 60 days after the notice is received, we will both try in good faith to resolve the Dispute, and if either of us asks, we will meet by phone or video call, with you taking part personally. Deadlines for bringing the claim are paused during these 60 days. An arbitration or small claims case started without this step may be dismissed. Most problems get solved here.

Binding arbitration. If we cannot resolve a Dispute informally, it will be resolved by binding individual arbitration, not in court, except as described under "Exceptions." The Federal Arbitration Act governs this section. The American Arbitration Association ("AAA") will administer the arbitration under its Consumer Arbitration Rules and, where they apply, its rules for mass or multiple case filings, as modified by this section (the "AAA Rules"), available at adr.org. The arbitrator must follow the law and these Terms and may award the same individual damages and relief a court could. Any hearing will take place in the county where you live or in Pinellas County, Florida, as you choose, or by phone, video, or written submission at your election. Judgment on the award may be entered in any court with jurisdiction.

Fees. The AAA Rules govern filing, administration and arbitrator fees, and they limit what a consumer pays. If the arbitrator finds that the fees you would have to pay are excessive compared with the cost of going to court, we will pay the difference. Each party pays its own lawyers' fees and costs unless the law or the AAA Rules provide otherwise, or the arbitrator finds that a claim or defense was frivolous or brought for an improper purpose.

Who decides. The arbitrator decides all questions about a Dispute, including whether it must be arbitrated and the scope, validity and enforceability of this section, except that a court decides whether the class action and jury trial waiver and the limits on relief below are valid and enforceable, and whether and how the mass arbitration rules below apply.

Class action and jury trial waiver. YOU AND CUTAI EACH AGREE TO BRING DISPUTES ONLY ON AN INDIVIDUAL BASIS, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION OR ARBITRATION. YOU AND CUTAI EACH WAIVE THE RIGHT TO A JURY TRIAL. The arbitrator may award relief, including declaratory or injunctive relief, only in favor of the individual party seeking it and only as far as needed for that party's individual claim, and may not combine more than one person's claims or preside over any class or representative proceeding.

Public injunctive relief. If a court decides that the law does not allow the limits in the paragraph above for a particular claim for relief, such as a request for public injunctive relief, that claim, and only that claim, will be separated from the arbitration and decided by a court under Section 22, after the arbitration of all other claims is finished, and paused until then.

Mass arbitration. If 25 or more demands for arbitration raising similar claims are filed against or by CutAI within 90 days of each other, by or with the help of the same or coordinated lawyers or organizations (a "Mass Filing"), these rules apply in addition to the AAA Rules:

  • Each claimant must complete the informal resolution step individually.
  • The lawyers on each side will each choose 25 demands, and only those 50 will be filed and decided first. After they are decided, the parties will mediate the remaining demands in good faith for 60 days.
  • If the remaining demands are not resolved, they will be filed and decided in batches of up to 100, with one arbitrator for each batch where the AAA Rules allow, and a new batch starts only after the previous one is decided.
  • No filing, administration or arbitrator fees are due from either party for a demand until its batch is filed.
  • Deadlines for bringing the claim are paused for each claimant while their demand waits for its batch.
  • Each claimant still gets an individual decision. A decision in one case does not bind any other claimant unless the parties agree.
  • A court may enforce these rules, including by stopping a Mass Filing that does not follow them. If a court finds any part of these rules unenforceable for a Mass Filing, that part does not apply, and the rest of this section still does.

Exceptions. Either of us may bring an individual claim in small claims court if it qualifies and stays there. Either of us may also ask a court for an injunction or other equitable relief to stop infringement or misuse of intellectual property, unauthorized access to the Services, or a breach of the rules in Section 9 that protect how CutAI works.

Your right to opt out. You may opt out of this arbitration agreement by emailing support@usecutai.com with the subject line "Arbitration Opt-Out", or by mail to the address in Section 26, within 30 days of first accepting these Terms. Include your name and the email on your account. If you accepted an earlier version of these Terms, you may instead opt out of the changes to this section within 30 days after October 25, 2026, the day we published this version, and the arbitration terms you agreed to before continue to apply to you unless you opted out of them. The changes this version makes to this section do not apply to a Dispute that either of us gave notice of before October 25, 2026. Opting out does not affect any other part of these Terms, and will not affect your account or service in any way. An opt-out is personal: no one may opt out for anyone else, or for a group.

If part of this section fails. If any part of this section is found unenforceable, the rest remains in effect. But if the class action waiver is found unenforceable for a claim, that claim will not be arbitrated and will be decided only in court under Section 22, never in a class arbitration. This section survives the end of your account and of these Terms. Any dispute falling outside this section will be resolved in the courts identified in Section 22.

22Governing Law

These Terms are governed by the laws of the State of Florida, without regard to its conflict of law rules, and the Federal Arbitration Act governs Section 21. Any dispute not subject to arbitration will be brought exclusively in the state or federal courts located in Pinellas County, Florida, and both parties consent to jurisdiction and venue there. The U.N. Convention on Contracts for the International Sale of Goods does not apply.

TO THE EXTENT THE LAW ALLOWS, YOU AND CUTAI EACH WAIVE ANY RIGHT TO A JURY TRIAL IN ANY DISPUTE THAT GOES TO COURT.

If you are a consumer resident in the EEA or UK, nothing here deprives you of the protection of mandatory consumer laws of your country of residence, or of your right to bring proceedings there.

23For Consumers in the EEA and UK

If you are a consumer in the European Economic Area or the United Kingdom, you may have a statutory right to withdraw from a subscription within 14 days of starting it. To exercise it, email support@usecutai.com within that period from the email on your account.

When you start a subscription or a free trial, you ask us to begin providing the Services immediately. If you withdraw within the 14 days, we may deduct an amount proportionate to the Services provided up to the point you told us you were withdrawing.

These Terms do not affect your statutory rights, including rights relating to services that are not as described or not performed with reasonable care. Sections 18 to 21 apply to you only as far as the law of your country allows, and they do not limit any liability that law says cannot be limited.

24California and New Jersey Residents

California. Under California Civil Code § 1789.3, California users may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210.

New Jersey. If you live in New Jersey, the disclaimers, exclusions and limits in Sections 18, 19 and 20 apply to you only to the extent New Jersey law permits. If any of them cannot be enforced against you under New Jersey law, it does not apply to you to that extent, and the rest of these Terms still applies. Nothing in these Terms limits any right you have under New Jersey law that cannot be waived.

25General

Entire agreement. These Terms, together with the Privacy Policy and any feature-specific terms, are the entire agreement between you and CutAI about the Services, and replace any prior agreements on that subject.

Severability. If any provision is held unenforceable, it will be limited or removed to the minimum extent necessary, and the rest remains in force. Section 21 has its own rule for this.

No waiver. Our failure or delay in enforcing a provision is not a waiver of it or of our right to enforce it later. A waiver counts only if we give it in writing.

Assignment. You may not assign or transfer these Terms or your account without our written consent, and any attempt to do so is void. We may assign or transfer these Terms, in whole or in part, without your consent, including to an affiliate or as part of a merger, acquisition, reorganization, financing, bankruptcy, or sale of all or part of our business or assets. Your information, including Your Content, may pass to the new owner as part of that transfer, as our Privacy Policy describes, subject to the commitments about Your Content in these Terms and the Privacy Policy. These Terms bind and benefit the parties and their permitted successors.

Force majeure. Neither party is liable for any delay or failure to perform caused by events beyond its reasonable control, including natural disasters, fire, flood, epidemics, war, terrorism, civil unrest, government action, labor disputes, power or internet failures, cyberattacks, and outages or failures of third-party hosting, cloud, AI, payment or communications providers.

No agency. These Terms do not create a partnership, joint venture, employment, or agency relationship.

No third-party beneficiaries. These Terms are for the benefit of you and CutAI only. Nobody else has rights under them, except the App Distributor as Section 12 states and the CutAI Parties as Sections 19 and 20 state.

Export controls and sanctions. You must follow all U.S. and other export control and sanctions laws that apply to your use of the Services. You may not use, export or re-export the Services, or let anyone else do so, in violation of those laws, including to an embargoed country or to anyone on a U.S. government list of prohibited or restricted parties.

Notices. We may send you notices by email to the address on your account, in the App, or on our website. A notice we send by email counts as received when sent, so keep your email address current. You may send notices to us at support@usecutai.com or the mailing address in Section 26.

Electronic communications. You consent to receive communications from us electronically, and agree that electronic notices, agreements, and records satisfy any legal requirement that they be in writing.

Interpretation. Headings are for convenience only. "Including" means "including without limitation." If we provide a translation of these Terms, the English version controls.
